Important notice (plain English): These Terms include important information about subscriptions, limitations of liability, and (for U.S. users) an agreement to resolve disputes by individual binding arbitration with a class action waiver. Please read carefully.

1. Introduction and Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of Sessio's website, mobile apps, and related services (collectively, the "Service").

By creating an account, clicking "I agree," installing/using the app, or otherwise accessing the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Who Sessio is for (v1): Sessio is designed for independent instructional professionals (Coach, Instructor, Trainer, Teacher, Tutor) and the clients they invite to manage private sessions. Sessio is not a public marketplace and does not match clients with professionals.

2. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or other reasonable means. Changes become effective on the date indicated in the updated Terms.

If you continue to use the Service after changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Service and, if applicable, cancel your subscription.

3. Eligibility, Accounts and Security

3.1 Registration and Account Responsibilities

To use the Service, you must:

  • Be at least 16 years old and able to form a binding contract; and
  • Not be prohibited from using the Service under applicable laws.

You agree to:

  • Provide accurate, current information;
  • Maintain the security of your login credentials;
  • Promptly notify us of unauthorized access or security incidents related to your account; and
  • Be responsible for all activity that occurs under your account.

Clients invited by a professional: Clients may create accounts to book/manage sessions with a specific professional who invited them. Clients may not use the Service to search for or solicit professionals.

3.2 Account Suspension/Termination by Us

We may suspend or terminate your account (or restrict access to features) if we reasonably believe you:

  • Violated these Terms or applicable law;
  • Misused the Service (including prohibited conduct in Section 7);
  • Created risk or potential legal exposure for Sessio or others; or
  • Failed to pay applicable fees (for paid subscriptions).

We will try to provide notice when practical, but we may act immediately when necessary for security, safety, or legal compliance.

4. The Service and License Grant

4.1 Description of SaaS Service

Sessio is a software-as-a-service platform that helps instructional professionals:

  • Publish availability and manage private session scheduling;
  • Manage clients and session records;
  • Track session time and related operational data;
  • Send and receive session-related notifications; and
  • Optionally facilitate payments via third-party processors (e.g., Stripe), or track off-platform payment status.

Sessio does not provide the professional services themselves (e.g., coaching, tutoring, instruction) and does not verify credentials or guarantee outcomes.

4.2 Limited License to Use

Subject to your compliance with these Terms, Sessio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use, solely as permitted by these Terms.

You may not:

  • Copy, modify, distribute, sell, lease, or reverse engineer the Service (except to the extent permitted by law);
  • Circumvent or disable security features; or
  • Use the Service to build a competing product or service.

4.3 Beta/Preview Features (if applicable)

We may offer features labeled "beta," "preview," "experimental," or similar ("Beta Features"). Beta Features may be unstable, may change or be discontinued, and are provided as-is without warranties. Your use of Beta Features is at your own risk.

5. Subscriptions, Billing and Payments

5.1 Pricing and Monthly Usage-Based Billing

Sessio charges fees based on your use of the Service, using the pricing model shown in the Service at the time of billing.

For instructional professionals, Sessio's fees may be based on factors such as:

  • Completed session time during a billing period
  • Your applicable pricing tier
  • Any optional paid features or add-ons shown in the Service

Sessio does not charge fees based on your session revenue or client payments unless expressly stated in the Service.

We may update pricing, pricing tiers, or billing rules from time to time. If we make a material change, we will provide notice as required by applicable law.

5.2 Billing Cycle, Invoices and Payment Processing

Unless otherwise stated in the Service, Sessio bills on a monthly cycle based on your usage during the applicable billing period (for example, completed session time in that month or the prior month, depending on the pricing design shown in the Service).

Sessio will issue a monthly invoice for fees due under the applicable pricing model.

Invoices may be delivered:

  • In the Service (account billing area)
  • By email
  • Through Stripe-hosted invoice/payment pages

Payments are processed by Stripe (or another processor identified in the Service). Sessio does not store full payment card numbers or CVV.

You are responsible for paying invoices by the stated due date.

If an invoice remains unpaid, we may:

  • Send payment reminders
  • Limit or suspend access to paid features
  • Restrict account functionality
  • Suspend or terminate the account for non-payment (subject to applicable law)

Deleting the app does not close your account and does not cancel outstanding invoices or fees already incurred.

5.3 Free Trials and Promotions

We may offer free trials, onboarding promotions, or temporary pricing discounts (for example, a first-month free offer), subject to any additional terms shown at sign-up or in the Service.

Unless stated otherwise, promotional pricing applies only for the stated promotional period. After that period ends, standard usage-based billing will apply.

We may modify or discontinue promotions at any time, subject to applicable law.

5.4 Refunds and Payment Disputes

Except where required by law, fees are non-refundable once incurred, including fees based on completed usage during a billing period.

We do not provide refunds or credits for:

  • Partial billing periods
  • Unused features
  • Failure to use the Service
  • Deleting the app without closing the account

If you believe an invoice was issued in error, you must contact us promptly at support@sessio.ai so we can review the issue. We may request information reasonably necessary to investigate and resolve billing disputes.

If you dispute a payment through Stripe (including chargebacks), we may suspend or restrict your account while the dispute is being reviewed.

Sessio is not responsible for disputes between professionals and clients regarding session quality, cancellations, no-shows, off-platform payments, or refund arrangements between users.

5.5 Taxes

Unless otherwise stated, fees do not include taxes.

You are responsible for any applicable sales, use, value-added, withholding, or similar taxes or duties associated with your use of the Service, except for taxes based on Sessio's net income.

Where required by law, Sessio or its payment processor may calculate, collect, and remit certain taxes.

6. Customer Data and Outputs

6.1 Ownership and License Grant

Your content: You (and/or your clients, as applicable) retain ownership of content you submit to the Service, including profile data, session notes, uploaded images (e.g., avatars, receipts), and scheduling information ("Customer Data").

To operate the Service, you grant Sessio a worldwide, non-exclusive license to host, store, process, transmit, and display Customer Data solely to:

  • Provide and maintain the Service;
  • Prevent or address technical, security, or abuse issues; and
  • Comply with legal obligations.

6.2 Data Processing and Portability (Switching / Migration)

We support basic user rights to export data and delete accounts as described in the Service and our Privacy Policy.

If you are located in the EU/EEA/UK (or where similar laws apply), we aim to support reasonable switching and migration expectations consistent with emerging EU "switching/portability" concepts for SaaS, including:

  • Providing a reasonable ability to export core account and booking data in a structured, commonly used format (where available);
  • Not using technical measures whose primary purpose is to prevent you from switching providers; and
  • Providing information about how to export data and close your account.

Important operational constraint: Account deletion may be blocked if you have upcoming sessions, to prevent disruptions for other users. After deletion, we may retain certain records (e.g., booking/payment records) as required for legal, tax, accounting, or dispute resolution purposes, and may anonymize identity fields (see Privacy Policy).

6.3 Anonymized Usage Data

We may create and use aggregated or anonymized data (e.g., usage statistics, feature performance) that does not identify you, for product improvement, analytics, security, and business operations. We may share such anonymized/aggregated data publicly or with partners.

7. Acceptable Use and Prohibited Conduct

You agree not to use the Service to do any of the following (and not to attempt to do so):

  • Illegal activities: Use the Service for unlawful purposes or in violation of any applicable law or regulation.
  • Harm and harassment: Harass, threaten, defame, stalk, or abuse others; or promote violence.
  • Exploitation or sexual content involving minors: Any content or conduct involving minors in a sexual context is strictly prohibited.
  • Sensitive data misuse: Upload or store highly sensitive personal information (e.g., medical records, mental health information, government IDs) in lesson notes or uploads, unless expressly supported and legally compliant.
  • Impersonation: Impersonate any person or entity or misrepresent your affiliation.
  • Unauthorized access: Probe, scan, or test the vulnerability of the Service; bypass security; or access accounts/data you are not authorized to access.
  • Interference: Interfere with or disrupt the Service (including via malware, bots, scraping, or denial-of-service attacks).
  • Reverse engineering: Reverse engineer, decompile, or attempt to discover source code, except to the extent permitted by law.
  • Abuse of invites: Send unsolicited invitations, spam, or misleading links; or use Sessio as a marketing blast tool.
  • Marketplace-like discovery: Attempt to use Sessio to list yourself publicly, solicit unknown students, or create a directory/discovery workflow not supported by the Service.
  • Payments abuse: Use the Service to facilitate prohibited transactions, money laundering, fraud, or payment card abuse.
  • Third-party rights: Infringe or violate the intellectual property, privacy, or other rights of others.
  • Policy circumvention: Circumvent any limitations, feature gates, or plan restrictions.

We may investigate and take appropriate action, including removing content, restricting features, or terminating accounts.

8. Intellectual Property

8.1 Our IP Rights

Sessio and all related software, code, designs, interfaces, logos, trademarks, and documentation are owned by Crystal Labs LLC and/or its licensors and are protected by intellectual property laws.

Except for the limited license granted in Section 4.2, no rights are granted to you.

8.2 Feedback and Suggestions

If you submit feedback, ideas, or suggestions, you grant Sessio a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that feedback without restriction or compensation.

9. Service Levels, Support and Availability

We do not provide a service level agreement (SLA) or guaranteed uptime for v1 unless expressly agreed in writing.

We may provide support through in-app help, email, or documentation, and may change support channels at any time.

Planned maintenance, outages, and feature changes may occur. We are not liable for downtime, interruptions, or data loss except as required by applicable law.

10. Termination and Suspension

You may stop using the Service at any time.

We may suspend or terminate access as described in Section 3.2 and Section 7.

Upon termination:

  • Your license to use the Service ends immediately.
  • We may delete or anonymize Customer Data consistent with our Privacy Policy and legal obligations.
  • Certain sections survive (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution).

11. Warranties and Disclaimers

11.1 "AS IS" and No Warranties

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure;
  • Any data will be accurate or complete; or
  • The Service will meet your requirements.

You are solely responsible for your use of the Service and for the professional services you provide to students.

11.2 Third-Party Services/Integrations

The Service may integrate with third-party services (e.g., Stripe for payments, Apple/Google for sign-in, calendar services, push notification services, Google Places). Third-party services are governed by their own terms and privacy policies. Sessio is not responsible for third-party services, including outages, errors, or data handling by those third parties.

12. Limitation of Liability

To the maximum extent permitted by law:

  1. No consequential damages: Sessio will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, even if we have been advised of the possibility.
  2. Cap on liability: Sessio's total liability for all claims arising out of or relating to the Service will not exceed the greater of:
    • USD $100, or
    • the amounts you paid to Sessio for the Service in the 12 months before the event giving rise to the claim.
  3. Basis of the bargain: You agree these limitations are an essential basis of our agreement and reflect risk allocation.

Exceptions: Some jurisdictions do not allow certain limitations (e.g., for gross negligence, willful misconduct, or certain consumer statutory rights). In such cases, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Sessio, Crystal Labs LLC, and their officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your professional services to students (including injuries, disputes, or claims relating to lessons);
  • Your content (Customer Data) and alleged infringement of third-party rights; or
  • Your violation of any law or regulation.

Sessio may assume control of the defense of a claim subject to indemnification, and you agree to cooperate.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Washington, USA, excluding conflict-of-law rules, except where consumer protection laws require otherwise.

14.2 Arbitration / Class Action Waiver (US-focused)

Applies to U.S. users (and others where permitted): You and Sessio agree to resolve most disputes through individual binding arbitration rather than court, except as set out below.

  • No class actions: Disputes will be brought only on an individual basis. You and Sessio waive any right to participate in a class action, class arbitration, or representative proceeding.
  • Arbitration administrator: Arbitration will be administered by the American Arbitration Association (AAA) under its consumer rules, as applicable.
  • Small claims: Either party may bring an individual claim in small claims court if eligible.
  • Injunctive relief: Either party may seek injunctive relief in court for unauthorized use or infringement of intellectual property.

Arbitration opt-out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@sessio.ai with the subject line "Arbitration Opt-Out" and your account email. If you opt out, disputes will be resolved in court as described below.

14.3 EU/UK Consumer Rights

If you are a consumer in the EU/UK, you may have mandatory rights that cannot be waived (including certain rights to bring claims in local courts). Nothing in these Terms limits those rights. Where required, we will provide information about available alternative dispute resolution mechanisms.

15. Miscellaneous

15.1 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, war, terrorism, labor disputes, internet outages, third-party provider outages).

15.2 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.

15.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.4 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented within the Service, constitute the entire agreement between you and Sessio regarding the Service and supersede prior agreements and understandings.
